Terms and Conditions

Last updated 21 October 2026 · Applies to every PRICELIST account and storefront.

These terms are written to be read. They explain what PRICELIST does, what you keep, what we do with your money and your data, and what happens if something goes wrong. If any part is unclear, ask us on WhatsApp before you sign up. We would rather explain it than argue about it later.

A plain summary: your products and your brand stay yours; you are the seller to your customers; you pay for the Service only while you use it; we keep your data safe and we do not sell it.

1. Agreement to these terms

These Terms and Conditions ("the Terms") form a binding agreement between you and PRICELIST ("we", "us", "our") when you create an account, publish a storefront or pay for a plan on PRICELIST ("the Service").

By creating an account or using the Service you confirm that you have read, understood and agree to these Terms, and that you are legally able to enter into them. If you do not agree, do not use the Service.

If you are accepting these Terms on behalf of a business, you confirm that you have the authority to bind that business, and "you" refers to that business.

2. What PRICELIST does

PRICELIST is a tool for building and publishing a product price list, and for routing customer orders to your own WhatsApp account. It gives you a storefront address on our domain, a dashboard to manage your catalogue, a shareable link and QR code, and a record of the orders customers send.

PRICELIST is not a marketplace, broker, shopfront, payment processor, logistics provider or agent. We never take custody of your money, we never hold your stock, and we are not the seller in a transaction with your customer. You are the seller; we provide the tool you sell with.

Orders placed through a PRICELIST storefront are agreements between you and the customer. Payment, delivery, refunds, warranties and disputes are handled entirely by you, subject to these Terms and the law.

3. Your account

You must provide accurate information when you register and keep it up to date. You are responsible for activity that happens under your account, including keeping your password confidential and signing out of devices you no longer use.

One person or business may hold one account. You may not share, resell or transfer your account, and you may not allow anyone else to manage it without taking responsibility for what they do.

We may suspend or close an account that breaches these Terms, that is used for fraud or abuse, or that is inactive for a long period. Where we suspend an account for a breach that can be fixed, we will tell you and give you a reasonable chance to fix it.

You can ask us to delete your account and your data at any time by contacting support. Deleting your account ends your subscription and removes your storefront from public view.

4. Plans, prices and payment

PRICELIST has a Free plan and paid plans. The Free plan includes a storefront, WhatsApp ordering, a QR code and up to 30 products. Paid plans add capacity, categories and customisation, and are described on our pricing page.

Paid plans are sold for a period: monthly (30 days), quarterly (90 days) or annual (365 days). One successful payment buys exactly one period of access. There is no automatic renewal: when a period ends, your account returns to the Free plan unless you pay again. We never charge your card without a payment you started.

Payments are processed by Paystack, a licensed payment service provider. We never see or store your card details. Prices are shown in naira and include the charges Paystack passes on to us.

If a payment fails or is reversed, the period it was meant to buy is not granted, and any period granted because of it ends. If a payment is taken and we do not grant the period it paid for, we refund that payment.

Prices may change. A change applies to payments made after it takes effect; a period you have already paid for is honoured at the price you paid.

Refunds: because a period is delivered in full as soon as it starts, we do not refund part of a period that has begun, except where the Service is materially unavailable, where we have failed to deliver a paid feature, or where the law requires it. If you want to cancel, tell us before a period starts and we will refund it.

5. Your storefront and your content

You keep ownership of the name, logo, images, descriptions, prices, categories and every other thing you upload ("your content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and adapt your content only for the purpose of running the Service for you, for example serving your storefront, generating your QR code and displaying your products.

You confirm that you have the right to upload everything you upload, and that doing so does not infringe anyone else's rights or break the law.

Your storefront address is yours while your account is active. We will not reuse a live storefront address for another business. We may change the way addresses are generated, but we will keep your existing address working.

You are responsible for the accuracy of your prices and the availability of what you list. If a price on your storefront is wrong, the customer is not bound by it and you remain responsible for honouring the price you intended to offer.

6. Acceptable use

You agree not to use the Service to publish or sell anything unlawful, to impersonate another person or business, to send unsolicited bulk messages, to upload content you do not have the right to use, or to attempt to gain unauthorised access to the Service or to other users' data.

You may not scrape, resell, reverse engineer or create competing directories from the Service, and you may not use the Service to build a store that only links to other stores.

We may remove content or suspend a storefront that breaks this section, and we may do so without notice where the content is illegal or dangerous.

7. Orders, payment and delivery

When a customer sends an order, it arrives in your WhatsApp and is recorded in your dashboard. PRICELIST does not take the customer's money, does not guarantee that a customer will pay, and does not guarantee delivery.

You are the merchant for every order. You are responsible for confirming availability, collecting payment, arranging delivery, issuing receipts and handling refunds. Where a customer pays you directly and disputes it, that dispute is between you and the customer.

Product availability, pricing, delivery windows, returns and warranty terms shown on your storefront are your statements, not ours.

8. Intellectual property and branding

We own the PRICELIST name, logo, product design, code and the look of the platform. Nothing in these Terms transfers that ownership to you.

On the Free plan, your storefront shows a small PRICELIST credit. On a paid plan you may remove that credit. You may not use our name or logo in a way that suggests we endorse, partner with or supervise your business, and you may not create a store name or branding that is confusingly similar to PRICELIST itself.

9. Third-party services

The Service relies on third parties, including WhatsApp and Meta for messaging, Paystack for payments, Resend or another email provider for transactional email, and our hosting and storage providers. Their availability, policies and terms apply to your use of them, and their outages can affect the Service.

We are not responsible for the acts, omissions, availability or policies of any third party, and we do not control how WhatsApp or Paystack handle your data or your customers' data.

10. Your data and privacy

We process the personal data we need to run the Service: your account details, the content you publish, the analytics of your storefront and the orders recorded through it. We process it to provide the Service, to support you, to keep the platform secure and to meet our legal obligations.

We do not sell your personal data. We share it only with the service providers listed in section 9 where they need it to do their job, and where the law requires us to disclose it.

You are responsible for the personal data of your own customers that you collect through a PRICELIST storefront, and for having a lawful basis to collect and use it.

You can ask what we hold about you, ask for a copy, ask us to correct it, or ask us to delete it, by contacting support on WhatsApp.

11. Availability, changes and third-party dependencies

We work to keep the Service available, but we do not guarantee uninterrupted access. We may change, suspend or withdraw features, and we will give reasonable notice before a change that materially reduces what you paid for.

Features that depend on WhatsApp, Meta or Paystack can change or disappear when those providers change their own products or policies. Where that happens and there is no comparable alternative, we will offer a refund of the unused part of your current period.

12. Suspension and termination

You can stop using the Service and close your account at any time. Closing your account ends your subscription; we do not refund a period that has already started.

We may suspend or terminate your access for a serious breach of these Terms, for non-payment, for legal reasons, or where keeping the account running would put us or others at risk. Where a breach can be fixed, we will normally give you notice and a chance to fix it first.

After termination, your storefront stops being public. We keep your data for a short period so that you can export or reactivate it, and then we delete or anonymise it, except where the law requires us to keep it.

13. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent the law allows, we exclude all implied warranties, including fitness for a particular purpose, and any warranty that the Service will be error-free or uninterrupted.

We do not warrant that the Service will increase your sales, that customers will order, or that a particular feature will be available in the future.

14. Limitation of liability

To the fullest extent the law allows, we are not liable for lost profits, lost sales, lost data, loss of goodwill, business interruption, or any indirect or consequential loss arising from your use of the Service, your use of any third-party service, or your dealings with your customers.

Our total liability to you for any claim in a 12-month period is limited to the amount you actually paid us for the Service in that period, or ₦5,000, whichever is higher. Nothing in these Terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

15. Indemnity

You agree to indemnify and hold us harmless against any claim, loss, damage or expense (including reasonable legal fees) arising from your content, from your use of the Service in a way that breaks these Terms or the law, or from a dispute between you and your customer, except to the extent the claim arises from our own wrongdoing.

16. Changes to these Terms

We may update these Terms. If a change is material, we will tell you by email or on the dashboard before it takes effect, and we will keep the previous version available on request.

If you do not accept a change, you can close your account before the change takes effect and, where you have paid for a period that has not started, ask for a refund of that period.

17. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have exclusive jurisdiction over any dispute arising from them.

Before going to court, please talk to us. Most disputes are settled quickly on WhatsApp. We will respond to a complaint within a reasonable time and, where the complaint is justified, act on it.

18. Contact
